Terms of Service

Agreement

These terms are between you and IronClad Enterprises LLC(“we”, “us”), a company based in Jacksonville, Florida, United States, and they govern your use of TableFlow. By creating an account or using the service, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.

What TableFlow is

TableFlow is software. It lets a restaurant publish a menu, generate QR codes for its tables, take orders from diners, show those orders on a kitchen display, and take payment through a payment processor.

We provide the software. We do not prepare, sell or serve food. Every order placed through TableFlow is a transaction between the diner and the restaurant.

Accounts

• You must be at least 18 years old to create an owner account.
• Provide accurate information, and keep your password and account access secure.
• You are responsible for everything done under your account, including by staff accounts you create.
• Tell us promptly if you believe your account has been compromised.

What the restaurant is responsible for

If you use TableFlow to run a restaurant, these remain entirely yours:

• Menu accuracy — descriptions, prices, availability, and in particular allergen and dietary information
• Food safety and compliance with health and licensing rules
• Tax — calculating, collecting and remitting sales tax or VAT
• Fulfilment — preparing and serving orders, and handling refunds, complaints and disputes with your diners
• Your own lawful handling of the diner data you receive through TableFlow

We are not a party to the sale between you and your diners and we are not responsible for these matters.

Subscription and billing

Paid plans are billed in advance through Stripe on a recurring basis until cancelled. By subscribing you authorise us to charge your payment method for each renewal.

• You can cancel at any time from the dashboard. Cancellation takes effect at the end of the current billing period.
• Fees already paid are non-refundable except where required by law, or where we agree otherwise in writing.
• We may change pricing with at least 30 days’ notice before it applies to your next renewal.
• If a payment fails, we may suspend access until the balance is settled.

Acceptable use

You agree not to:

• use TableFlow for anything unlawful, or to sell anything you may not lawfully sell
• attempt to gain unauthorised access to the service, other accounts, or our infrastructure
• probe, scan or test the security of the service without our written permission
• interfere with the service’s operation, or place a disproportionate load on it
• resell or white-label the service without our agreement
• upload malware, or content you do not have the right to use

Availability

We work to keep TableFlow running reliably, but we do not guarantee uninterrupted or error-free service. We may need to suspend access for maintenance, and we may change or discontinue features. Where a change is significant and we can give notice, we will.

The service is provided “as is”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, lost revenue, lost data or lost goodwill, arising out of your use of TableFlow.

Our total liability for any claim relating to the service is limited to the amount you paid us for TableFlow in the twelve months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded.

Your content

Your menu, branding, images and restaurant data remain yours. You grant us a limited licence to host, process and display that content solely in order to operate the service for you. You confirm you have the rights to the content you upload.

Termination

You may stop using TableFlow and delete your account at any time. We may suspend or terminate an account that breaches these terms, that is used unlawfully, or that is in extended non-payment. Where circumstances allow, we will give notice and an opportunity to put things right first.

On termination, your access ends and we delete account data in line with our Privacy Policy. Export anything you need before you delete your account.

Governing law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. The state and federal courts located in Duval County, Florida have exclusive jurisdiction over any dispute, and both parties consent to that jurisdiction.

Changes to these terms

We may update these terms. The date at the top of this page shows when they last changed, and we will notify account owners of material changes. Continuing to use TableFlow after a change takes effect means you accept the updated terms.
